CPT Global names Andrew Smith chairman amid reporting delays

The ASX-listed IT services company expects to release audited financial statements by late November, following delays that led to the suspension of its securities from trading.

The Australian IT consulting and services firm CPT Global Limited (ASX: CGO) appointed Andrew Smith as an independent non-executive director and chairman, effective immediately.

Smith is a qualified accountant, corporate adviser, senior executive and company director with more than 20 years of professional experience, the filing said. His career includes partner and senior leadership roles at international professional services firms. He has also held board and chief executive appointments at publicly listed companies in Australia and Canada. The filing did not name the companies or disclose his pay, shareholding or committee roles.

Smith’s appointment follows chairman’s resignation

Smith’s appointment follows the resignation of Nick Mescher, who had chaired the board since Aug. 31, 2025, as a non-executive director and chairman on June 26.

Following Mescher’s departure, the board said it was seeking to appoint a non-executive director as soon as possible. The company has also lost a non-executive director and chair of the Audit & Risk Committee, Deborah Hadwen, who had resigned on Feb. 16.

Missed reporting deadline led to ASX suspension

The Australian Securities Exchange (ASX) suspended CPT Global’s securities from quotation on March 2 under Listing Rule 17.5 after the company failed to lodge a periodic report by the deadline.

In suspension updates on May 8 and June 2, CPT Global told the market it was working with its auditors to finalize half-year accounts for the period ended Dec. 31, 2025. The company said that it could not provide assurances on when the audit work would be completed. The Thursday filing did not say whether the suspension remains in place.

Annual meeting notice to follow accounts

CPT Global stated the board expects to finalize and release audited accounts for the fiscal year ended June 30, 2026, around the end of November, then send the notice for the 2026 annual general meeting shortly afterward.

The company said it will update the market if the timing changes.
