Following its previously announced $45 million funding in April, the Company has now raised a total of $70 million over the past two months. This amount is sufficient to fully support the Phase I objectives of its FF EAI robotics strategy, targeted for completion by the end of 2026. Growing demand across FF’s four core product lines and major application areas—including education, security inspection, reception and guided tours, performance applications, and university research—along with upcoming product launches, has led the Company to increase its full-year shipment target to 1,500 units.
With stronger fundamentals, an improved strategic direction, and recent financing, FF is now in a position to shift its funding approach. For the first time in years, the Company can move away from liquidity-driven decisions toward a more structured capital strategy. Reduced short-term financial pressure allows FF to focus on optimizing long-term shareholder value rather than accepting funding terms driven by immediate liquidity needs. For its EAI Vehicle segment, the Company plans to gradually transition from high-cost, short-term financing toward a balanced mix of operating cash flow, strategic partnerships, and long-term capital.
After the conclusion of the SEC investigation without any penalties and the return of its founding team, FF is evolving its earlier “Ten-Punch Combo” strategy into a more focused framework of “Five Key Transformations” under its AI-First philosophy. The complete strategic roadmap will be revealed in the upcoming YT Investor Weekly Report.
LOS ANGELES--(BUSINESS WIRE)--Faraday Future Intelligent Electric Inc. (Nasdaq: FFAI), a California-based global Embodied AI (EAI) ecosystem company, announced that it has entered into a Securities Purchase Agreement with investors to issue convertible promissory notes totaling $25 million. The Company expects the proceeds to accelerate execution of its EAI strategy and strengthen its position as the first U.S. company to deliver both humanoid and bionic robots.
Under the terms of the agreement, investors have purchased convertible promissory notes worth $25 million. The underlying common stock shares remain unregistered, are subject to trading restrictions, and are not immediately tradable. Of the total amount, $12.5 million will be transferred directly to the Company’s operating account, while the remaining $12.5 million will be placed in controlled accounts managed by investors and released upon meeting specified conditions. Additional details will be available in the Company’s Form 8-K filing with the SEC around May 15, 2026.
Combined with the earlier $45 million raised in April, this brings total recent financing to $70 million—adequate to fully support Phase I of FF’s EAI robotics plan through 2026. Increased demand across key sectors such as education, security inspection, guided services, performance applications, and academic research, along with upcoming product introductions, has driven the Company to raise its shipment goal to 1,500 units for the year.
Strategic Direction and AI-First Transformation
As FF transitions into a Physical AI company guided by its AI-First philosophy, it is concentrating on two primary product categories: Embodied AI humanoid and bionic robots, and EAI-powered automotive robots. By developing a “Three-in-One” ecosystem—integrating Device, Data, and Brain, along with an open-source and developer platform—the Company aims to establish a continuous innovation cycle that maximizes commercial potential.
This latest financing milestone is significant not just in size, but in strategic impact. With reduced near-term financial constraints, FF now has the flexibility to adopt a capital-structure-driven financing model. The Company intends to gradually replace high-cost, short-term funding with a more sustainable mix of operating cash flow, industry collaborations, and long-term investments to enhance shareholder returns.
